CLIDE Beta Terms of Use

These terms are an agreement between you and Lint Trap Media, LLC, a Washington limited liability company ("we", "us" or "the Owner"), about CLIDE: the desktop app, its installers and install scripts, its updates, the Tool Marketplace and the tools in it, and the clide.tools website (together, "the Software").

By downloading, installing or using the Software, you agree to these terms. If you do not agree, do not download, install or use it. If you use the Software for an organization, you agree on its behalf and confirm you may.

1. Use at your own risk

You use the Software entirely at your own risk. CLIDE runs scripts and programs on your computer, with your user account's permissions, and has AI agents write and change code. Those scripts, programs and agents can create, change, overwrite, move or delete files, use the network, use up disk space, memory or processor time, and do anything else your account can do. Mistakes, including ours, the agents' and yours, can lose or damage data, software or hardware, or cause other harm.

2. This is a beta

The Software is pre-release software. It may have bugs, be incomplete, behave unexpectedly, lose data, stop working, or change or lose features at any time, without notice. We may stop updating, supporting or offering any version, or the Software as a whole, at any time. We have no obligation to provide support, fixes or updates.

The Software is free during the beta. We may charge for it, or for some of its features, later. If we do, we will say so before it applies to you, and you may stop using it.

3. Your license

While you follow these terms, we give you a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable license to install and use the Software, as we distribute it, on computers you own or control.

You may not, and may not let anyone else: copy, sell, rent, lease, lend, distribute, publish or sublicense the Software; modify it or make works based on it; reverse engineer, decompile or disassemble it, except where the law allows that despite this restriction; remove or change any notice in it; or use it to break any law or anyone's rights.

The source code is not licensed by these terms. Its own license (the LICENSE file in its repository) applies to it. We keep all rights not expressly granted here, including all intellectual property in the Software.

4. AI agents and other software

CLIDE can start AI agents that are installed on your computer, such as Claude Code, Codex CLI, Gemini CLI, or a command you set up yourself. They run signed in with your own accounts. CLIDE gives them your request, its own instructions, and any scripts and files you choose, and they read files, write files and may run commands.

5. The Tool Marketplace

We offer ready-made tools in the Tool Marketplace, in CLIDE and on clide.tools. They are part of the Software, and these terms apply to them in full: they are provided as is, at your own risk, like everything else here. Installing a tool puts its files on your computer; running it runs its commands with your permissions. Read a tool, and the command it runs, before you run it. A tool may need other programs, which you install and use under their own terms. We may change, replace or remove any tool, or the Tool Marketplace, at any time. Some tools may be offered for a fee later; if so, we will say what they cost before you pay anything, and further terms may apply to them.

6. Updates

CLIDE checks for updates, downloads them, and offers to install them. An update may add, change or remove features. These terms apply to every update unless it comes with other terms.

7. Not for high-risk use

Do not use the Software where its failure could lead to death, personal injury, or severe physical, property or environmental damage, or to run or control medical, safety, emergency, vehicle, aviation, nuclear, infrastructure or similar systems.

8. No warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR NEEDS, WORK WITHOUT INTERRUPTION OR ERROR, BE SECURE OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECT WILL BE FIXED, OR THAT ANYTHING IT OR AN AI AGENT PRODUCES WILL BE CORRECT, SAFE OR USABLE. NO ADVICE OR INFORMATION FROM US OR THE SOFTWARE CREATES ANY WARRANTY.

9. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

Some places do not allow some of these exclusions or limits. Where that is so, they apply only as far as the law there allows, and our liability is limited to the smallest amount the law allows.

10. Your responsibility to us

To the fullest extent the law allows, you will defend, indemnify and hold harmless the Owner, and anyone acting for us, from and against all claims, losses, damages, liabilities, costs and expenses (including reasonable lawyers' fees) arising from or related to your use of the Software, the tools, scripts, commands and files you run or create with it, your use of any AI agent or other software or service through it, or your breach of these terms or of any law or anyone's rights.

11. Ending

You may stop using the Software at any time by uninstalling it. Your license ends automatically if you break these terms, and we may end it at any time for any reason. When it ends, you must stop using the Software and delete it. Sections 1, 4, 5 and 7 to 14 continue after it ends.

12. Changes to these terms

We may change these terms. The version and date at the top say which terms are in effect. When they change, CLIDE asks you to agree again before you go on using it, and the website shows the new version. If you do not agree to the changed terms, stop using the Software.

13. Governing law and disputes

These terms, and any dispute or claim arising from or related to them or the Software, are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You and we agree that the state and federal courts located in Washington State have exclusive jurisdiction over any such dispute, and consent to their personal jurisdiction. Where the law of your country gives you rights that cannot be waived, this section does not take them away.

14. General

These terms, together with our Privacy Policy, are the whole agreement between you and us about the Software, and replace any earlier agreement about it. If any part of them cannot be enforced, it is enforced as far as it can be, and the rest stays in effect. If we do not enforce a part, we have not given up the right to. You may not transfer your rights or duties under them; we may transfer ours. Nothing in them gives rights to anyone else. The section headings are for convenience only.
